Terms of Service

These terms govern the provision of professional business and consulting services by Meriton Group Pty Ltd (ABN 95 703 365 744) to clients in Melbourne VIC and across Australia. By engaging our services, you agree to be bound by these terms.

1. About Us

Meriton Group Pty Ltd (ABN 95 703 365 744) operates the website https://meritongroup.online and provides professional business and consulting services, including business advisory, strategy, operations, and related consulting services. Our registered place of business is in Melbourne VIC, Australia.

2. Engaging Our Services

Any engagement of our services is subject to a written agreement or engagement letter, which will set out the scope of work, deliverables, timelines, fees, and payment terms. Where an engagement letter conflicts with these terms, the engagement letter will prevail to the extent of the inconsistency.

Quotes provided by us are valid for 30 days from the date of issue unless otherwise stated. A quote is an estimate only and is not a binding offer until confirmed in writing by both parties.

3. Fees and Payment

Fees for our services will be set out in the applicable engagement letter or quote. Unless otherwise agreed in writing, invoices are payable within 14 days of the date of issue. Late payments may attract interest and reasonable recovery costs.

All fees are quoted in Australian dollars and are exclusive of GST, unless otherwise stated. Where GST applies, it will be added to invoices in accordance with Australian tax law.

4. Client Responsibilities

You agree to provide timely and accurate information, documentation, and access reasonably required for us to deliver the services. Delays caused by incomplete or inaccurate information may affect timelines and may result in additional fees.

5. Professional Advice

Our services are provided on the basis that the advice and deliverables we produce are for the specific purposes and scope set out in the engagement. Our advice is based on information available to us at the time of provision. You remain responsible for decisions made on the basis of our advice and should seek independent specialist advice where appropriate, including legal, financial, or tax advice beyond our scope.

6. Intellectual Property

All deliverables created by us for you under an engagement become your property upon full payment of the relevant fees. We retain ownership of our pre-existing methodologies, tools, templates, and know-how. You may not resell or redistribute our deliverables as commercial products without our prior written consent.

7. Confidentiality

Both parties agree to keep confidential information obtained in the course of an engagement confidential and not to disclose it to third parties without consent, except where disclosure is required by law or by a professional obligation.

8. Limitation of Liability

To the extent permitted by law, our liability for any claim arising out of or in connection with our services is limited to the fees paid by you for the specific service giving rise to the claim. We are not liable for indirect, consequential, or special losses, including loss of profit or loss of business opportunity.

Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other applicable law that cannot be excluded or restricted.

9. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with our services, you are entitled to cancel your engagement and receive a refund for the unconsumed value of the services, or to be compensated for the reduced value of the services. You are also entitled to be compensated for any other reasonably foreseeable loss or damage caused by a failure of our services.

10. Termination

Either party may terminate an engagement in accordance with the notice provisions of the applicable engagement letter. Upon termination, you agree to pay for all services performed and expenses incurred up to the date of termination.

11. Governing Law

These terms and any engagement with Meriton Group Pty Ltd are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria.

12. Amendments

We may update these terms from time to time. The current version will be published on this page, and the version in force at the date of an engagement will apply to that engagement.
